This End User License Agreement ("Agreement") is a binding agreement between you ("User") and Temperis ("Licensor") governing use of the Temperis desktop application, including all updates, license keys, activation materials, and documentation (the "Software"). By clicking accept, installing, activating, or using the Software, you agree to this Agreement, to the Terms of Service, and to the Privacy Policy. If you do not agree, do not install or use the Software.
Upon valid purchase (or during a valid trial period), Licensor grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for your own use (including your own commercial software development), subject to this Agreement. A purchased application license is perpetual for the version(s) made available to you, subject to termination for breach under Section 8.
The Software requires a license key and online activation. Keys are personal to you: you may not share, publish, sell, rent, or transfer them, and you may not automate or resell their issuance. Trial keys are limited to one per person and expire automatically at the end of the trial period. Licensor may revoke keys obtained or used in violation of this Agreement, keys involved in fraud or chargebacks, or keys refunded under the refund policy. Licensor signs activation receipts cryptographically; tampering with activation or license verification is a material breach.

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. Your code and project files remain yours; this Agreement claims no ownership over works you create using the Software.
The Software can connect to third-party services (including AI model providers) that you configure with your own credentials. Your use of those services is governed by their terms, and Licensor is not responsible for them or for content generated by AI models. AI output can be incorrect or insecure; you are responsible for reviewing AI-generated code before use, and for the permissions you grant to agent features that act on your machine. The Software includes open-source components; their licenses and notices are listed in the third-party notices file distributed with the Software, and those components remain governed by their own licenses.
The Temperis Brain is a separate, optional hosted subscription governed by the Terms of Service. Nothing in this Agreement entitles you to the Brain without an active subscription, and discontinuation or modification of the Brain does not affect your perpetual license to the App.
The Software may check for and install updates; you can control automatic installation in Settings. Update checks involve standard web requests to the update feed. Data practices, including the content-free service telemetry used by the Brain, are described in the Privacy Policy.
This Agreement terminates automatically if you materially breach it. Upon termination you must cease use and destroy all copies, and your license keys may be revoked. A refund of your purchase also ends your license. Sections 3–5 and 9–11 survive termination.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. AI-ASSISTED OUTPUT MAY CONTAIN ERRORS; YOU ASSUME ALL RESPONSIBILITY FOR VERIFYING AND USING IT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
You may not use or export the Software in violation of applicable export-control or sanctions laws, and you represent that you are not located in an embargoed jurisdiction or on a restricted-party list.
This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement regarding the Software and supersedes prior discussions. This Agreement is governed by the laws of the United States and of the U.S. state in which Licensor resides, without regard to conflict-of-law rules. Before filing any claim, the parties will attempt in good faith to resolve the dispute informally for 30 days (contact: support@temperis.pro). If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver.
